Alternative Practice Structure
(APS) Disclosure

“LedgerWay” is the brand name under which LedgerWay, Inc. and Accounting Management and Advisory Services, Inc. (“AMS CPAs”) provide professional services. LedgerWay, Inc. and AMS CPAs operate under an Alternative Practice Structure (APS) in accordance with the AICPA Code of Professional Conduct and all applicable laws, regulations, and professional standards.

Accounting Management and Advisory Services, Inc. (“AMS CPAs”) is a licensed, independent CPA firm based in the State of Florida and is exclusively responsible for performing attest and assurance services, including audits, reviews, compilations requiring a CPA report, examinations, agreed-upon procedures, and any other services that require licensure under applicable state accountancy laws. LedgerWay, Inc. is a separate and independent non-CPA company that provides tax preparation and advisory services, bookkeeping, client accounting services, outsourced CFO services, business consulting, and other non-attest professional services.

LedgerWay, Inc. is not a licensed CPA firm. It is not licensed by the State of California, and the services it offers in the State of California do not require a state license. LedgerWay, Inc. does not hold out as a CPA firm in California and does not provide any services requiring licensure under the California Accountancy Act. Clients requiring attest or CPA-licensed services are referred exclusively to AMS CPAs, which performs such services independently and in accordance with state regulatory requirements.

Although LedgerWay, Inc. and AMS CPAs collaborate to provide clients with an integrated experience, they are legally distinct entities, independently owned, and solely responsible for the services they directly provide. Neither entity is liable for the services, actions, or omissions of the other, and neither controls or supervises the professional work performed by the other. References throughout this website or in communications to “LedgerWay,” “our firm,” “we,” “us,” or similar terminology are used for convenience and may refer to LedgerWay, Inc., AMSCPAs, or both, depending on the context. Such terminology is not intended to imply that the entities are a single legal entity, that they are jointly liable, or that they provide the same types of services. All attest services are performed solely by AMS CPAs, and all non-attest services are performed solely by LedgerWay, Inc.

LedgerWay, Inc. also operates additional brands and divisions, including “Creal & Creal,” “Levy, Sapin, Ko and Freeman,” “Insogna CPA,” and other DBA designations. These brands function as internal divisions of LedgerWay, Inc. and do not provide attest or assurance services. All attest-related work for clients of these divisions is performed exclusively by AMS CPAs. The Alternative Practice Structure allows LedgerWay to deliver a broad range of tax, bookkeeping, accounting support, advisory, and business services while ensuring that all attest and assurance engagements are performed independently by a licensed CPA firm in full compliance with professional standards and regulatory requirements.
